About these terms
These terms are an agreement between you and OmniLabs Technologies ("OmniLabs", "we", "us"), a company based in British Columbia, Canada. They cover your use of Debloq, including debloq.io, the Debloq dashboard at app.debloq.io, the hosted Debloq email editor, and the documentation (together, the "Service").
By creating an account, starting a trial or embedding the editor, you accept these terms. If you are accepting on behalf of a company, you confirm you have authority to bind it, and "you" means that company. You must be at least 18 and use the Service for business purposes.
Your account
You are responsible for your account and everything done with it. Keep your password and project keys confidential, keep your account details accurate, and tell us promptly at reach@debloq.io if you think someone has accessed your account or a key without permission.
The subscription
Debloq is sold as one plan with every feature included. Each subscription covers:
- One project with one permanent project key.
- One production domain where the editor may run, plus local development.
- Every current feature, including dark and light mode, white-labelling, AMP export and custom components.
- Every future feature and update we release, at no extra cost and without moving you to another tier.
Each additional product or domain needs its own project and subscription. There are no seat limits on the number of people in your product who use the editor.
Licence to use the editor
While your subscription is active, we grant you a non-exclusive, non-transferable licence to embed the Debloq editor in your own product on your licensed domain, and to let your users design emails with it. You may not:
- Share, publish or reuse a project key on a domain it was not issued for.
- Resell, sublicense or distribute the editor on its own, or offer it as a stand-alone email editor or editor-as-a-service.
- Bypass, disable or interfere with licence checks, rate limits or other technical restrictions.
- Copy, modify, decompile or reverse-engineer the editor, except where the law allows it despite this restriction.
- Use the Service to build a competing embeddable email editor.
White-labelling
You may present the editor under your own brand, including your logo, colours, fonts, light or dark theme, and toolbar. You do not need to show Debloq branding to your users. This is part of the plan, not an add-on.
Trials
Monthly subscriptions include a 7-day free trial, available once per workspace. A payment card is required to start a trial. Unless you cancel before it ends, the trial converts into a paid monthly subscription and your card is charged automatically.
Billing and renewal
Plans cost US$99 per month or US$999 per year per project, plus any applicable taxes such as GST, PST, HST or VAT. Payments are processed by Stripe. Subscriptions renew automatically at the end of each billing period until cancelled.
If you switch from monthly to annual billing, Stripe will show you the prorated amount before you confirm. If a payment fails, we may retry it, and the editor for that project will lock until payment succeeds.
We may change prices for future billing periods. We will give you at least 30 days' notice by email, and the new price will apply from your next renewal after the notice.
Cancellation and refunds
You can cancel anytime from the dashboard. Cancellation takes effect at the end of the current billing period, and the editor keeps working until then. Deleting a project cancels its subscription immediately and permanently revokes its key.
14-day money-back guarantee. If you are not happy, email reach@debloq.io within 14 days of your first paid charge for a project and we will refund that charge in full. The guarantee applies once per customer. Renewals, and charges after the first 14 days, are not refundable except where the law requires it.
Your content
You and your users own the email designs, HTML, text, images and other content created with the editor ("Your Content"). The editor returns Your Content to your application, and you decide where it is stored. We do not claim any rights to it.
Templates and blocks we provide may be used and modified freely in emails you and your users create.
Acceptable use
You are responsible for Your Content and for the emails you send. You must not use the Service to:
- Send spam or emails that break anti-spam laws, including Canada's Anti-Spam Legislation (CASL), CAN-SPAM and the GDPR.
- Create or distribute content that is unlawful, fraudulent, deceptive, infringing, or that contains malware or phishing.
- Attempt to break, overload or gain unauthorised access to the Service or other customers' data.
Availability and support
We work to keep the Service available and fast but do not guarantee uninterrupted operation. The editor checks its project key with our servers when it loads, so it needs a network connection to open. If that check fails, the editor shows a locked state rather than running unlicensed.
We may update, improve or change the Service at any time. We will not remove core functionality you rely on without reasonable notice. Support is provided by email at reach@debloq.io.
Third-party services
The editor can connect to services you choose, such as your own storage, image library, stock photo provider or test-email sender. Those services are yours to configure and are governed by their own terms. We are not responsible for them.
Suspension and termination
We may suspend or end your access if you materially breach these terms, fail to pay, or use the Service in a way that puts us, other customers or the public at risk. Where reasonable, we will give you notice and a chance to fix the problem first.
When a subscription ends, its project key stops working and the editor locks. Your Content stays in your own systems and is not affected.
Disclaimers
Apart from the commitments in these terms, the Service is provided "as is" and "as available". To the extent the law allows, we disclaim all other warranties, including merchantability, fitness for a particular purpose and non-infringement. Email clients render HTML differently, and we do not guarantee how any email will look or perform in every inbox.
Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill.
Our total liability arising from these terms or the Service is limited to the amount you paid us for the Service in the 12 months before the event that gave rise to the claim. Nothing in these terms limits liability that cannot be limited by law.
Indemnity
You will defend and indemnify OmniLabs against third-party claims arising from Your Content, the emails you send, or your breach of these terms or applicable law.
Changes to these terms
We may update these terms from time to time. If a change is material, we will tell you by email or in the dashboard at least 30 days before it takes effect. If you keep using the Service after that, you accept the updated terms. If you do not agree, you can cancel before the change takes effect.
Governing law
These terms are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there. Both parties submit to the exclusive jurisdiction of the courts of British Columbia, sitting in Vancouver.
General
These terms, together with our privacy policy, are the entire agreement between us about the Service. If any part is found unenforceable, the rest stays in effect. You may not transfer these terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets. Failing to enforce a right is not a waiver of it.
